Terms & Conditions

These terms govern the use of techabys.com and every service delivered by TechAbys ("TechAbys", "we", "us"), operated under Hasnaz International, Aligarh, Uttar Pradesh, India (GSTIN 09KBJPK3697D1Z3). By engaging us — through a signed proposal, an accepted quotation, or a paid invoice — you ("the client") accept these terms together with the specifics written in your proposal. Where a signed proposal differs from this page, the proposal wins.

1. Our services

1. 3D Interactive Website Development — custom-coded React, Next.js, Shopify, WordPress and SaaS builds.
2. AI Voice Agents — multilingual AI receptionists built on platforms such as Vapi and ElevenLabs.
3. AI Content & Media Engine — art-directed, AI-generated product photography, campaign imagery, films and reels.
4. AI Agent Deployment & Consultancy — installing Claude Code, OpenAI Codex and custom LLM agents inside organisations, with staff training and governance.
5. Mobile App Development — cross-platform Flutter / React Native apps.

These are new-market services; each engagement's exact scope, deliverables, timeline and price are fixed in writing before work begins — you approve a visual demo before we write production code.

2. Quotes, invoices & taxes

• Quotations are valid for 30 days unless stated otherwise.
• Invoices carry TB-series numbers and applicable GST.
• Unless the proposal says otherwise, projects start with an advance and continue on written milestones; work may pause when an invoice is overdue.
• Payments are non-refundable once the corresponding milestone has been delivered or the subscription month has run.

3. Website plans — Launch Plan (₹999 / $10 a month) and Own It

• What the Launch Plan includes — a custom-coded website built to the approved demo, hosting, maintenance, updates as agreed, technical and on-page SEO/AEO setup, analytics and meta/Open-Graph configuration, and a small "Built by TechAbys" footer credit.
• Ownership while subscribed — the website's source code, design system and hosting infrastructure remain the property of TechAbys while the site is on the Launch Plan. The site runs on our hosting; your domain is purchased and registered in your name and pointed to us, so the domain is always yours.
• Upgrading to Own It — the full one-time price for complete ownership is decided and recorded in your proposal before the project starts. As your business grows with the website, you may upgrade at any time by paying that agreed amount in a single payment. On receipt of full payment we hand over the complete source code and assist migration to hosting of your choice; the footer credit becomes optional.
• Monthly fees are for service, not instalments — Launch Plan months cover build, hosting and maintenance; they do not accumulate toward the Own It price unless your proposal explicitly says so.
• If you stop paying — the site is paused, not deleted. Nothing is lost: resume the subscription, or upgrade to Own It, and it comes back. We hold paused builds for at least 6 months.
• Own It (direct) builds — for one-time projects, payment runs on milestones; full code and ownership transfer on the final payment.

4. AI Content & Media Engine

• Pricing starts at ₹499 per finished image per the agreed scope; campaigns, films and retainers are quoted in writing.
• You must own (or have licence to) all product images, logos and brand assets you supply.
• Deliverables are AI-generated and human-art-directed. On full payment you receive a commercial usage licence for the agreed channels (social, web, marketplace, print as scoped). Raw generation files and our internal pipelines remain TechAbys property.
• References to client brands on this site are factual statements of work delivered; they do not imply any personal endorsement of TechAbys by any individual.
• We may show non-confidential work in our portfolio unless your proposal or NDA says otherwise.
• Some jurisdictions and platforms require AI-content labelling; final compliance for where and how images are published rests with the client, and we'll advise on request.

5. AI Agent Deployment & Consultancy

• Platform accounts and licences (Anthropic, OpenAI, Google, etc.) are purchased by, billed to, and owned by the client; ongoing usage/token costs are between the client and the provider.
• We deliver per the statement of work: discovery audit, platform rollout, custom agents, governance documents, hands-on training, and (optionally) a fractional-AI-team retainer.
• Training moves staff up a defined skill ladder; outcomes depend on team participation — we commit to the programme, not to a specific business metric.
• Governance documents are templates configured to your organisation; final legal/compliance sign-off rests with your team.

6. AI Voice Agents

• Telephony, voice-platform and per-minute usage costs are billed per usage (typically directly by the provider).
• Call recording/transcription is configurable; you are responsible for the caller-consent disclosures required in your jurisdiction, and we will configure the agent to deliver them.
• Agents answer from a client-approved knowledge base; you are responsible for the accuracy of the information you approve.

7. Mobile apps

App Store / Play Store accounts belong to the client. Store review timelines and policy decisions are outside our control.

8. Client responsibilities

• Provide content, approvals and access on the agreed schedule — project timelines shift when inputs arrive late.
• Ensure everything you supply is lawful and yours to use.
• Use deliverables (especially AI agents and AI content) in compliance with the laws and platform policies that apply to your business.

9. Revisions & scope

Each proposal states its included revision rounds. Work beyond the written scope is quoted separately before we do it — no surprise line items.

10. Intellectual property

Our pre-existing tools, frameworks, prompt systems, pipelines and know-how remain TechAbys property. Deliverable ownership follows the plan rules above (sections 3–7). Nothing in an engagement transfers ownership of either party's brand.

11. Confidentiality

We sign NDAs on request and treat non-public client information as confidential by default.

12. AI-output disclaimer & warranties

AI systems are probabilistic. We quality-control every deliverable to the bar described on this site, but we do not warrant that AI output is error-free, that agents will never produce an unexpected answer, or that any specific ranking, traffic or revenue figure will be achieved. Services are otherwise provided with reasonable professional skill and care; all other warranties are disclaimed to the maximum extent permitted by law.

13. Liability

To the maximum extent permitted by law, TechAbys' total liability for any claim is limited to the fees you paid us in the three months before the event giving rise to the claim, and we are not liable for indirect or consequential losses (lost profits, lost data, business interruption).

14. Indemnity

You indemnify us against claims arising from materials you supplied, instructions you gave, or your use of deliverables in breach of law or platform policy.

15. Termination

Either party may end an engagement with written notice as set in the proposal. You pay for work completed to date; subscription services end at the close of the paid period (with the Launch Plan pause rules in section 3).

16. Governing law

These terms are governed by the laws of India; courts at Aligarh, Uttar Pradesh have exclusive jurisdiction.

17. Changes

We may update these terms; the version on this page applies from its "last updated" date. Material changes don't apply retroactively to a signed proposal.
